These Terms of Service (“Terms”) govern your use of Dubme Flow (“the Platform”) provided by Dubme (“we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Platform.

1. Use of the Platform

1.1 Eligibility: By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Platform on behalf of an organization, you further represent and warrant that you have the authority to bind that organization.
1.2 Account Registration: In order to access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
1.3 Acceptable Use: You agree to use the Platform in compliance with all applicable laws, regulations, and these Terms. You are solely responsible for the content you upload, publish, or transmit through the Platform. You must not use the Platform for any illegal, harmful, or unauthorized purposes.

2. Content Ownership and Usage Rights

2.1 Your Content: You retain ownership of any content you upload to the Platform, including videos, transcripts, translations, and related materials (“Your Content”). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute Your Content solely for the purpose of providing the services requested through the Platform.
2.2 Intellectual Property: All intellectual property rights related to the Platform and its contents, including but not limited to trademarks, copyrights, logos, and trade secrets, are the property of Dubme or its licensors. You may not use, copy, reproduce, distribute, modify, or create derivative works of the Platform without our prior written consent.

3. Payment and Fees

3.1 Service Fees: The use of certain services on the Platform may require payment of fees. You agree to pay all applicable fees as described on the Platform. All fees are non-refundable unless otherwise stated.
3.2 Payment Processing: We may use third-party payment processors to facilitate payment transactions. You agree to provide accurate and complete payment information and authorize us or our payment processors to charge the specified amount.

4. Privacy

We collect, store, and process your personal information in accordance with our Privacy Policy. By using the Platform, you consent to the collection and use of your personal information as outlined in the Privacy Policy.

5. Termination

5.1 Termination by You: You may terminate your account and cease using the Platform at any time. Any outstanding fees or obligations incurred before termination will remain payable.
5.2 Termination by Us: We reserve the right to suspend, disable, or terminate your account or access to the Platform, at our sole discretion and without prior notice, for any reason, including but not limited to a violation of these Terms or applicable laws.

6. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or reputation, arising out of or in connection with your use of the Platform.

7. Modifications to the Terms

We reserve the right to modify or update these Terms at any time. Any changes or updates will be effective upon posting the revised Terms on the Platform. It is your responsibility to review these Terms periodically to stay informed of any modifications. Your continued use of the Platform after the posting of any changes constitutes acceptance of the updated Terms.

8. Non-Disclosure Agreement and Intellectual Property Assignment

8.1 NDA Agreement: By accessing and using the Platform, you confirm that you have signed a Non-Disclosure Agreement (“NDA”) with Dubme IO SL. You acknowledge and agree to be bound by the terms and obligations set forth in the NDA.
8.2 Intellectual Property Contribution and Assignment Agreement: By accessing and using the Platform, you confirm that you have signed an Intellectual Property Contribution and Assignment Agreement (“IP Agreement”) with Dubme IO SL. You acknowledge and agree that all intellectual property rights arising from or related to any contributions made by you through the Platform are subject to the terms and provisions of the IP Agreement.
8.3 Validity of Agreements: You further confirm that both the NDA and the IP Agreement are currently valid, in full force, and legally binding upon you. You understand that your access to the Platform is contingent upon the continued validity and enforceability of these agreements.
8.4 Compliance with Agreements: You agree to comply with all obligations, restrictions, and provisions outlined in the NDA and the IP Agreement while using the Platform. Any breach of these agreements may result in the termination of your account and access to the Platform, as well as other legal remedies available to Dubme IO SL.
8.5 Entire Agreement: These Terms, along with the NDA and IP Agreement, constitute the entire agreement between you and Dubme concerning your use of the Platform and supersede any prior or contemporaneous agreements, understandings, or representations, whether oral or written, relating to the subject matter herein.
